Acconeer registers an increased number of shares through subscription via warrants

Acconeer ABs share capital and number of shares have increased due to the exercise of warrants in series TO2 (2019/2022). As a result, the company is increasing its cash by SEK 17 million.

A total of 611,048 new shares were subscribed for in Acconeer AB with the support of the warrants TO2. Subscription has taken place in installments during the subscription period that ran from the first of May 2022 until and including 30 June 2022. The last installment of these subscriptions was registered with the Swedish Companies Registration Office (Bolagsverket) on 7 July 2022.

After the shares subscribed for in connection with the end of the subscription period have been registered with the Swedish Companies Registration Office, the total number of shares in Acconeer AB amounts to 26,331,798, with a quota value of SEK 0.05 per share. The share capital in Acconeer AB thus amounts to SEK 1,316,589.9 after the completion of the warrant program.

Acconeer receives order from BEYD worth 300 000 USD

The order relates to Acconeer's A111 radar sensor for customers' mass production, the evaluation kit (EVK) XE121 and related products, as well as the coming modules XM124 and XM123 including EVKs for these. BEYD is Acconeer's Chinese distributor and remains an important sales channel for the company.

CEO Lars Lindell comments: "We are seeing a gradual improvement on the Chinese market after their covid-19 related lockdowns, and this order is a good confirmation of that progress."

Acconeer launches Evaluation Kit for A121 – new pulsed coherent radar sensor in A1 product family

As previously announced, Acconeer introduces a new high-performance radar sensor, A121, and today the evaluation kit (EVK) for the product has been shipped to distributors and will soon be available for customers to buy. The A121 radar sensor is planned to be ready for mass production in the first quarter of 2023.

CEO, Lars Lindell, comments: "This is a huge milestone for Acconeer as a company, as it moves us from a one-product startup to a multi-product company and proves that we have the capabilities to develop and maintain several sensor products in parallel. Now we are looking forward to seeing all the innovative customer products and use cases the A121 enables."

The EVK for A121 consists of an evaluation board, XE121, and a connector board XC120 which makes it possible to connect the EVK to a computer using USB C. The XE121 includes the A121 sensor and is compatible with Raspberry Pi as well as STM32 Nucleo from ST Microelectronics. In addition, a compatible lens kit, LH120, is available. In the coming months a satellite board called XS121 will be launched to let customers evaluate multi-sensor use cases with the XE121.

Head of Product Management, Mikael Rosenhed, comments: "Many of our customers use microcontroller units (MCUs) from ST Microelectronics in their products, and by making our EVK compatible with the Nucleo system from ST we make evaluation and development very easy for all of them. For customers using other MCU suppliers, the Raspberry Pi option still exists and will work just as well as before."

The new product will complement the A111 radar sensor and will have even lower power-consumption, increased performance and improved data quality. This will be of use in advanced power-critical use cases such as gesture-control using micro-motions and battery-driven IoT applications. The A121 will also have support for flexible power supply, with an IO interface of 1.8-3.3 V and will be qualified for AECQ-100 grade 2 to ensure operation over a wider temperature range. Being part of the A1 family, A121 is pin compatible with A111.

Acconeer launched the A111 pulsed coherent radar sensor during the spring 2018, and the A1 product family will now be complemented with the high-performance sensor A121. The next generation product family, A2, which is co-developed with Alps Alpine, will be launched in 2024 as previously announced.

Acconeer has delivered more than one million radar sensors

As of today, Acconeer has shipped more than one million A111 pulsed coherent radar sensors in total since the company started selling Evaluation Kits (EVKs) in February 2018.

Lars Lindell, CEO Acconeer, comments: "Today we ship our millionth radar sensor since we started selling it online, which is a great milestone to celebrate. This proves that we can deliver on our commitment and that we now have a good customer base buying our sensor in high volumes. Now we are looking to increase the rate we sell at even further to soon pass two million sensors."

In February 2020, 24 months after sales start, Acconeer reached 100 000 sensors sold. Seven months later that number was doubled, and the company passed 200 000 sold sensors. To go from 200 000 to half a million took less than a year, and now ten months later the number has doubled again and the mark of one million sold sensors is passed. Since 2021, Acconeer reports accumulated sales in financial reports, by the end of Q1 2022 the company had sold in total 860 000 radar sensors.

Acconeer receives order from Digi-Key worth USD 400k

The order relates to the recently announced integration-ready modules XM123 and XM124 and related Evaluation Kit (EVK), as well as the EVK for the upcoming A121 pulsed coherent radar sensor. Digi-Keys global online platform, serving customers with evaluation kits and sensors intended for mass production, remains an important distribution channel for Acconeer.

Acconeers management team members purchase shares through the exercise of the companys warrant program 2019/2022

Acconeer AB (publ) (Nasdaq First North Growth Market: ACCON) ("Acconeer" or the "Company") today announced that a group of employees of the Company, among others, four members of the Company's management team, have purchased shares through the exercise of Acconeers warrant program 2019/2022. To partially finance the subscription of shares, a group of participants in the warrant program has sold a total of 183,594 shares in the Company.

A group of participants in the Companys incentive program 2019/2022, including the Companys CEO Lars Lindell, COO Mikael Egard, Head of Marketing, Communications Anna Aleryd and Head of Product Management Mikael Rosenhed, have sold a total of 183,594 shares, corresponding to approximately SEK 8.6 million. Lars Lindell and Anna Aleryd will, after the warrant subscription and the share sale, increase their holdings in Acconeer, while Mikael Egard and Mikael Rosenhed sold as many shares as they subscribed for in the warrant program.

The sale of shares was carried out to partially cover personal tax effects as well as the subscription price and the costs that result from the exercise of the warrants under the incentive program. The company does not receive any proceeds from the share sale. Following the share sale, 338,514 warrants remain unused in the 2019/2022 option program. Outstanding warrants can be exercised until 30 June 2022 and entitle the holders to receive 345,284 shares in the Company upon exercise.

If all shares within the framework of the 2019/2022 warrant program are subscribed for, Acconeer will receive gross proceeds of approximately SEK 17.6 million.

Acconeer announces new module variants designed to solve component shortage for modules

The modules are variants of the company's popular Entry Modules for which there has been a shortage of ARM Cortex M0 microcontroller units (MCUs). The new modules, called XM124 and XM123, will feature the A111 pulsed coherent radar sensor together with a more powerful ARM Cortex M4 MCU while still being sold at an attractive entry-line price point.

CEO Lars Lindell comments: "By extending our module portfolio using an M4 microcontroller and a high-volume commitment from our selected MCU supplier, we have now managed to secure supply of enough MCUs for our modules to solve the issue with component shortages for the rest of the year. This means that we will be able to produce these new modules, as well as produce and re-stock the popular XM132 Entry Module which has been sold out for a long time."

The new modules will have a solderable design featuring the A111 radar sensor along with an ARM Cortex M4 microcontroller unit (MCU) from ST Microelectronics and their ultra-low-power MCU platform. The form factor for both XM124 and XM123 will be the same, with a footprint of only 15×18,6 mm which will become the new standard for modules featuring the A1 sensor family including both A111 and the upcoming A121.

The XM124 will come with support for the full Acconeer radar system software (RSS), while the XM123 will have a software optimized for the people presence and motion detection use cases.

The ARM Cortex M7-based XM112 High-Performance Module was released in December 2018, allowing customers evaluate their use cases on an embedded system with high performance. In October 2019, the XM122 IoT Module was launched targeting connected battery-powered use cases, combining the A111 radar sensor with an ARM Cortex M4 MCU and integrated connectivity such as Bluetooth. The first module in the Entry family, XM132 was launched in September 2020 and has been very popular thanks to its integration-ready, solderable design. It was followed by the smaller Entry Module XM131 Presence, launched in April 2022 and optimized for the people presence and motion detection use cases.

Bulletin from the annual general meeting of Acconeer AB on 26 April 2022

Acconeer AB (the "Company") held its annual general meeting on 26 April 2022. At the annual general meeting, the following resolutions were made.

Adoption of the income statement and balance sheet

The annual general meeting resolved to adopt the board of directors' proposal for the income statement and the balance sheet for the fiscal year of 2021.

Disposition of the Company's profit or loss

The annual general meeting resolved, in accordance with the board of directors' proposal, that no dividend is paid and that the Company's funds available for distribution is carried forward.

Discharge from liability

The annual general meeting resolved to grant discharge from liability to all persons who have had the position of board member or CEO in the Company during 2021.

Election on the board of directors and auditor, and determination of fees

The annual general meeting resolved to re-elect Bengt Adolfsson, Lars-Erik Wernersson, Git Sturesjö Adolfsson, Thomas Rex and Johan Paulsson. Thomas Rex was re-elected as chairman of the board of directors.

The annual general meeting resolved that the fees to the board of directors, for the period until the next annual meeting, shall be paid out with a total of twelve (12) price base amounts (Sw. prisbasbelopp), of which four (4) price base amounts to the chairman and two (2) price base amounts to each of the other members elected by the annual general meeting who are not employed by the Company.

The annual general meeting resolved to elect the registered audit company KPMG AB as the Company's auditor until the end of the next annual general meeting. Fees to the auditor shall be paid according to approved invoice.

Directed issue of warrants and approval of transfer of warrants

The annual general meeting resolved, in accordance with the board of directors' proposal, on the warrant-based incentive program Warrant Program 2022/2026 by (A) issuance of warrants of series 2022/2026  to the Company's wholly-owned subsidiary and (B) approval of the transfer of warrants 2022/2026 from the subsidiary to individuals who are or will be employed by the Company (individuals employed for a fixed time period are excluded) including the CEO ("Employees").

No more than 300,000 warrants shall be issued to the subsidiary with the right and obligation for the subsidiary to later transfer the warrants to the Employees. The warrants shall be transferred by the subsidiary on 18 November 2022, or on the later date decided by the board of directors, the transfer shall be made at market value at the respective transfer dates and warrants shall be allotted in accordance with the principles set forth in the board of directors' proposal. Subscription of shares under the warrants may take place during the period from 3 December 2025 until 16 January 2026. The premium per share shall be transferred to the free share premium reserve (Sw. fria överkursfonden). The subscription price per share shall correspond to 150 per cent of the volume-weighted average price according to Nasdaq First North Growth Market's official curriculum list for shares in the Company during the period of ten (10) trading days ending on 11 November 2022, however, the subscription price per share shall never be less than the quota value of the share. The maximum dilution effect of the program is approximately 1.15 per cent.

The annual general meeting resolved, in accordance with the board of directors' proposal, on the warrant-based incentive program Warrant Program 2023/2026 by (A) issuance of warrants of series 2023/2026 to the Company's wholly-owned subsidiary and (B) approval of the transfer of warrants 2023/2026 from the subsidiary to the Employees (including the CEO) in the Company.

No more than 300,000 warrants shall be issued to the subsidiary with the right and obligation for the subsidiary to later transfer the warrants to the Employees. The warrants shall be transferred by the subsidiary on 10 March 2023, or on the later date decided by the board of directors, the transfer shall be made at market value at the respective transfer dates and warrants shall be allotted in accordance with the principles set forth in the board of directors' proposal. Subscription of shares under the warrants may take place during the period from 25 March 2026 until 8 May 2026. The premium per share shall be transferred to the free share premium reserve (Sw. fria överkursfonden). The subscription price per share shall correspond to 150 per cent of the volume-weighted average price according to Nasdaq First North Growth Market's official curriculum list for shares in the Company during the period of ten (10) trading days ending on 3 March 2023, however, the subscription price per share shall never be less than the quota value of the share. The maximum dilution effect of the program is approximately 1.15 per cent.

Authorisation for the board of directors to resolve on issue of shares

The annual general meeting resolved to authorise the board of directors to, until the next annual general meeting, on one or more occasions, resolve to increase the Company's share capital by issue of no more than shares corresponding to twenty-five (25) per cent of the total number of shares in the Company at the time of the annual general meeting's decision of authorisation. The board of directors may deviate from the shareholders' preferential rights. The reason for the board of directors' authorisation to deviate from the shareholders' preferential rights is to enable the Company to raise new capital and to take advantage of future opportunities to attract new long-term owners, and to finance the Company's growth strategy. The authorisation also includes the right to decide on payment for the issued shares by set-off, in kind or with other conditions as referred in Chapter 13 Section 5 item 6 of the Swedish Companies Act (Sw. aktiebolagslagen (2005:551)). At a deviation from the shareholders' preferential rights, the issue rate shall be determined in accordance with market conditions, taking into account any discount on market terms.
